Terms of Service

1. Acceptance of Terms

By accessing or using the CORDAX platform (the “Service”), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using CORDAX, you represent and warrant that you meet this requirement.

3. Account Registration

3.1 Account Creation. To access certain features, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security. You agree to notify us immediately of any unauthorized use or breach of security. You remain liable for all activity under your account until you notify us.

4. Subscription, Fees & Billing

4.1 Subscription Plans. CORDAX Pro subscription is $199 per month, providing unlimited project uploads and reviewers. Subscription fees are billed in advance and non-refundable except as required by law.

4.2 Payment. We accept major credit cards and other payment methods indicated on our website. You authorize us to charge your chosen payment method for all fees.

4.3 Free Trial. New users may access a 14-day free trial for up to two projects. Upon trial expiration, you will be charged the applicable subscription fee unless you cancel beforehand.

5. Professional Stamping Services

5.1 Optional Service. Professional engineer (P.Eng.) stamping is offered at additional, variable per-project fees. Fees will be presented at order time and must be paid to proceed.

5.2 Third-Party Service. P.Eng. stamping is performed by licensed engineers independent of CORDAX. CORDAX facilitates the process but is not responsible for engineering judgments.

6. User Content & License

6.1 Your Content. You retain ownership of all drawings, plans, specifications and materials you upload (“User Content”). You grant CORDAX a non-exclusive, worldwide license to use, reproduce and display your User Content to provide and improve the Service.

6.2 Feedback. Any suggestions or feedback you provide may be used by CORDAX without obligation or compensation.

7. Intellectual Property

All rights, title and interest in the Service, including software, trademarks, logos, and documentation, belong to CORDAX or its licensors. Except for the limited license granted to you, all rights are reserved.

8. Acceptable Use & Prohibited Activities

You agree not to:

• Reverse engineer, decompile or attempt to extract source code.
• Use the Service to infringe any intellectual property rights or violate laws.
• Introduce malware or malicious code into the Service.
• Interfere with the security or operation of the Service.

9. Termination

9.1 Termination by You. You may cancel your subscription at any time via your account settings. Cancellations take effect at the end of the current billing cycle.

9.2 Termination by Us. We may suspend or terminate your access if you breach these Terms or for legal reasons. We will attempt to notify you in advance.

10. Disclaimers of Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

IN NO EVENT WILL CORDAX BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

CORDAX’S AGGREGATE LIABILITY FOR DIRECT DAMAGES WILL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend and hold harmless CORDAX and its affiliates from any claims, liabilities, losses, damages and expenses arising from your violation of these Terms or your use of the Service.

13. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles. Any legal action will be brought in courts located in Toronto, Ontario.

14. Changes to Terms

We may modify these Terms at any time. We will post updated Terms with a new "Last Updated" date. Continued use of the Service after changes indicates your acceptance.
