1. Acceptance of Terms
By accessing or using the CORDAX platform (the “Service”), you (“the User”) agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and CORDAX. IF YOU DO NOT AGREE TO THESE TERMS, INCLUDING THE LIMITATION OF LIABILITY IN SECTION 11, YOU ARE STRICTLY PROHIBITED FROM USING THE SERVICE.
2. No Professional Advice or Engineering Services
CORDAX is a software-as-a-service (SaaS) provider and is not a licensed engineering firm.
Drafting Tool Only: The Service provides automated tools for MEP visualization and drafting. It does not provide professional engineering advice, judgment, or design services.
Mandatory Review: All outputs, 3D models, and schematic designs generated by the Service must be reviewed, modified, and verified by a licensed Professional Engineer (P.Eng.) prior to any use in construction, permitting, or fabrication.
User Responsibility: The User assumes total responsibility for ensuring that any design produced via the Service complies with the Ontario Building Code, the Professional Engineers Act, and all other applicable local regulations.
3. Third-Party Professional Stamping
3.1 Facilitation Only. CORDAX may facilitate access to third-party Professional Engineers for "stamping" services.
3.2 Independent Contractors. These engineers are independent third parties and are not employees, agents, or partners of CORDAX.
3.3 No Liability for Stamping. CORDAX assumes zero liability for the accuracy, legality, or professional validity of any stamp provided by third-party engineers. Any dispute regarding a professional stamp is strictly between the User and the individual Professional Engineer.
4. Account Security & Eligibility
You must be at least 18 years old and possess the legal authority to enter into this agreement. You are solely responsible for all activity under your account. CORDAX is not liable for any loss or damage arising from your failure to protect your login credentials.
5. Subscription, Fees & Billing
5.1 Non-Refundable. All fees, including the $199/month Pro subscription and variable stamping fees, are billed in advance and are 100% non-refundable, regardless of usage or project outcomes.
5.2 Trial Conversion. 14-day trials automatically convert to paid subscriptions unless cancelled. CORDAX is not responsible for "forgotten" cancellations.
6. Intellectual Property & Data
6.1 User Content. You retain ownership of uploaded materials but grant CORDAX a perpetual, irrevocable license to use this data to provide and improve our machine-learning models and conversion algorithms.
6.2 Proprietary Technology. The 2D-to-3D conversion logic and platform architecture are the exclusive property of CORDAX.
10. Disclaimers of Warranty
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY ONTARIO LAW, CORDAX EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY WARRANTY THAT THE SERVICE WILL BE ERROR-FREE, ACCURATE, OR THAT THE OUTPUTS WILL BE APPROVED BY MUNICIPAL AUTHORITIES OR REGULATORY BODIES.
11. Total Limitation of Liability (The "Zero Liability" Clause)
READ THIS SECTION CAREFULLY. IT LIMITS YOUR LEGAL RECOURSE.
11.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORDAX, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO: STRUCTURAL FAILURE, CONSTRUCTION DELAYS, CODE VIOLATIONS, LOSS OF PROFITS, OR PERSONAL INJURY ARISING OUT OF THE USE OF THE SERVICE.
11.2 Liability Cap. NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR, THE ENTIRE AGGREGATE LIABILITY OF CORDAX UNDER ANY PROVISION OF THESE TERMS SHALL BE LIMITED TO THE LESSER OF: (A) THE AMOUNT ACTUALLY PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) $500 CAD.
11.3 Essential Purpose. These limitations apply even if a remedy fails of its essential purpose and regardless of whether the claim is based on contract, tort (including negligence), or strict liability.
12. Indemnification
You agree to defend, indemnify, and hold harmless CORDAX from and against any claims, liabilities, or expenses (including legal fees on a solicitor-and-client basis) arising from your use of the Service, your reliance on any generated models, or your breach of Ontario professional standards.
13. Governing Law & Mandatory Arbitration
These Terms are governed by the laws of the Province of Ontario. Any dispute shall be settled by the courts of Toronto, Ontario. You waive any right to participate in a class-action lawsuit against CORDAX.
